Geoffrey regularly advises derivatives clearinghouses, trading facilities, trade repositories and other infrastructure providers on market structure, development of rules and documentation and commodities, securities and other regulatory issues. He also has extensive experience structuring and documenting over-the-counter derivatives transactions of all types, particularly credit and equity derivatives.
Geoffrey also has broad experience representing issuers, underwriters and users of structured products and structured transactions, including credit and commodity linked securities and synthetic and cash-flow collateralized debt obligation transactions. He regularly advises market participants with respect to commodities, securities and other regulatory issues related to derivatives and other financial products (including implementation of the Dodd-Frank Act and other regulatory reforms). He has also advised clients on structuring public and private commodity pools.

IntercontinentalExchange in a wide range of matters, including ongoing development of its ICE Clear Credit, ICE Clear Europe and ICE Clear US clearinghouses for credit default swaps and other products, resolution and recovery planning for clearinghouses, development of segregation models, client clearing solutions and bankruptcy remote structures, new product and rulebook development, U.S. and EU regulatory “equivalence” and other cross-border regulatory issues, and SEC and CFTC regulatory matters.

CVS Health in its $10.6 billion acquisition of Oak Street Health.

A non-U.S. financial institution in development of a program for financing of trade receivables through participations, derivatives and structured notes.

U.S. and non-U.S. financial institutions in structured sovereign repo transactions and related hedging activities.

Pro bono

Center for New York City Neighborhoods, Inc. on regulatory requirements in connection with its residential mortgage lending licenses and reporting, in addition to its structuring of a new mortgage product
